IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless WTL Governance and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Site, or your violation of any rights of a third party.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

12. Dispute Resolution

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at info@wtlgovernance.com. We will attempt to resolve the dispute within thirty (30) days. If the dispute cannot be resolved informally, either party may proceed with formal legal action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last updated" date. Your continued use of the Site after any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
